2. Description of Service

ETERNA is a digital legacy platform that allows users to:

  • Store and organize digital memories (photos, videos, documents)
  • Create time capsules for future delivery
  • Designate beneficiaries to receive content
  • Create AI-powered digital clones for legacy conversations
  • Securely store sensitive documents in encrypted vaults

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly update any changes to your information
  • Accept responsibility for all activities under your account
  • Be at least 18 years of age

4. User Content

Ownership

You retain ownership of all content you upload to ETERNA. By uploading content, you grant us a limited license to store, process, and deliver your content as necessary to provide the Service.

Prohibited Content

You agree not to upload content that:

  • Violates any applicable laws or regulations
  • Infringes on intellectual property rights
  • Contains malware or harmful code
  • Is defamatory, obscene, or threatening
  • Promotes illegal activities

5. AI Clone Services

By using our AI Clone feature, you acknowledge and agree that:

  • The AI clone is a simulation and not a replacement for human interaction
  • AI responses are generated based on provided training data and may not perfectly represent your views
  • You are responsible for the content used to train your AI clone
  • Beneficiaries will be informed they are interacting with an AI
  • We may update AI models and algorithms to improve service quality

6. Heartbeat System

ETERNA uses a "Heartbeat" verification system to ensure content is only delivered when appropriate. You agree to:

  • Respond to periodic check-in requests
  • Designate trusted contacts who can verify your status
  • Accept that failure to respond may trigger content delivery to beneficiaries
  • Keep your contact information up to date

7. Subscription and Payment

Paid features are available through subscription plans. By subscribing, you agree that:

  • Subscriptions automatically renew unless cancelled
  • Prices may change with 30 days notice
  • Refunds are provided according to our refund policy
  • Failure to pay may result in service suspension

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETERNA INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Indemnification

You agree to indemnify and hold harmless ETERNA Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account at any time for violations of these Terms. Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service constitutes acceptance of the revised Terms.
